JJ Joubert is an Associate in VDMA’s Corporate and Commercial department and a member of the Corporate and Commercial practice.

JJ specialises in corporate and commercial law, with particular focus on mergers and acquisitions, commercial transactions and strategic business advisory matters. He advises clients across a broad range of industries on commercial agreements, transaction structuring, risk management and general corporate matters. He has experience assisting businesses of varying sizes with the drafting, negotiation and implementation of complex commercial agreements and corporate transactions. His practice includes advising clients on transaction structuring, commercial risk allocation and practical legal solutions aimed at supporting sustainable business growth and operational efficiency.

In addition to his transactional work, JJ works closely with clients to understand their commercial objectives and deliver clear, practical and commercially focused legal advice. He is known for his approachable and solutions-driven approach, ensuring that legal strategies are aligned with clients’ broader business goals within South Africa’s evolving commercial landscape. JJ has also acted as a supporting attorney on a range of acquisition and investment transactions, assisting with due diligence, transaction documentation, negotiation support and implementation of deal structures across multiple sectors and jurisdictions.

Advised and assisted an international polymer-based manufacturing group on the acquisition of South African plastics manufacturing businesses, specifically extrusion and injection moulding operations in the construction, furniture and industrial sectors, in a transaction valued at approximately EUR 10 million, including transaction structuring, due diligence, negotiation and implementation of transaction agreements.

Advised a Southern African agribusiness group on a series of cross-border investment and acquisition transactions, including a capital raise exceeding USD 40 million and the acquisition of large-scale citrus farming operations across South Africa, including transaction structuring, shareholder arrangements, funding structures and implementation across multiple jurisdictions.

Advised an international agribusiness group on a complex cross-border investment transaction valued at approximately USD 45 million, involving a strategic foreign investment by a publicly listed multinational conglomerate, including the structuring of a staged equity investment, shareholder funding arrangements and coordination across South Africa, Mauritius, France, Mozambique and Zambia.
